Terms of Service.

By accessing or using Reica ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of an enterprise, brand, or agency, you represent and warrant that you have the authority to bind such entity to these Terms.

Reica is a B2B AI-native visual production platform that enables brands to generate professional still life, on-model photography, and video content. The service utilizes proprietary and third-party generative artificial intelligence models to process user inputs and produce digital visual outputs.

Due to the probabilistic nature of generative AI, outputs may vary. While we utilize Similarity Score and Quality Score to maintain output quality, we do not guarantee that every generation will meet your exact subjective expectations.

You must be at least 18 years old to use Reica. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

Reica operates on a Subscription and Credit-based model. Credits are consumed based on the resolution and type of generation (e.g., 1K vs 4K resolution, images vs video).

• Subscriptions: Billed in advance on a monthly or annual basis. Unused credits from subscriptions do not roll over to the next billing cycle.
• Add-on Packs: Additional credits purchased separately do not expire as long as your account remains active.
• Refunds: Due to the intensive computational costs associated with GPU processing, all purchases and subscriptions are non-refundable, except where required by EU consumer law.

• Your Inputs: You retain all ownership rights to the images, texts, and assets you upload to Reica, import into it (for example from a product feed or a connected storage service) or ask it to fetch from a link ("Inputs"). You grant us a limited, worldwide, non-exclusive license to host, copy, and process your Inputs strictly for the purpose of providing the service to you.
• Your Outputs: Subject to your compliance with these Terms and payment in full, Reica assigns to you all its rights, title, and interest in the generated visual assets ("Outputs"). You are free to use Outputs for commercial purposes, including marketing, advertising, and e-commerce.
• AI Training: For our Enterprise customers, custom model training remains strictly siloed. We do not use your private Inputs or Outputs to train our public foundational models without your explicit consent.

In alignment with industry safety standards for Generative AI, you may not use Reica or its underlying models to generate, process, or disseminate content that involves:

• ✕ Child Sexual Abuse Material (CSAM) or any content that exploits, harms, or sexualizes minors (strictly prohibited and reported to authorities).
• ✕ Non-consensual explicit content, sexually explicit material, pornography, or non-consensual nudity.
• ✕ Content depicting graphic violence, gore, self-harm, or cruelty, including violence against animals.
• ✕ Harassment, hate speech, bullying, or discrimination against protected groups and individuals.
• ✕ Deepfakes, unlawful impersonation of real persons, or content used for political campaigning and lobbying.
• ✕ Uploading images of identifiable real people (for example models, staff or customers) without their consent to that use, or using the Platform to generate content that depicts them in ways they have not agreed to.
• ✕ Infringing on third-party intellectual property, copyrights, trademarks, or publicity rights.
• ✕ Disseminating dangerous misinformation, such as medical inaccuracies, fraudulent schemes, or false warnings.
• ✕ Military applications, surveillance, biometric processing, or automated decision-making that impacts legal rights.

We reserve the right to suspend or terminate accounts that violate this policy, and to use automated moderation tools (including hashing and AI classifiers) to block prohibited prompts or inputs.

This policy also covers the models and services of our third-party providers: content they do not permit may not be generated or processed through Reica either. You are responsible for all Inputs you upload and all prompts you write, and for the use of the Outputs.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. While Reica encodes professional fashion production standards into its pipeline, generative AI is an evolving technology. We do not warrant that the Outputs will be error-free, entirely accurate, or perfectly aligned with subjective creative expectations. You are responsible for reviewing all Outputs before using them in commercial campaigns.

To the maximum extent permitted by applicable law, in no event shall Reica, its founders, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform or the Outputs. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify and hold harmless Reica, its founders and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) brought by third parties, including our technology providers, that arise from: (a) your Inputs, including images of people or third-party content you upload; (b) your prompts and your use of the Platform in breach of these Terms, in particular the Acceptable Use Policy; (c) your use or distribution of the Outputs; or (d) your violation of any law or third-party right. We will notify you of any such claim and may take part in its defence with counsel of our choice.

You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of the current billing cycle. We may suspend or terminate your access immediately, without notice, if you breach these Terms (especially the Acceptable Use Policy) or fail to pay fees when due.

These Terms are governed by the laws of Italy, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform. Continued use of Reica after the effective date of the updated Terms constitutes your acceptance. For questions, contact hello@getreica.com.

Outputs are made with generative AI. As required by the EU AI Act (Regulation (EU) 2024/1689, Article 50), every Output that leaves the Platform (download, export, or delivery to a connected service) carries machine-readable markings that identify it as AI-generated or AI-manipulated:

• Metadata: an IPTC/XMP statement that the image is AI-generated (digital source type) and was made with Reica, plus any provenance information written by the underlying models.
• Content Credentials: a C2PA manifest digitally signed by Reica and time-stamped, describing in general terms how the Output was made.
• Invisible watermark: an imperceptible watermark embedded in the pixels, which allows an Output to be recognised as made with Reica even after its metadata has been removed.

You may not remove, alter, obscure or tamper with these markings, or use or provide tools whose purpose is to circumvent them, except where strictly necessary for a legitimate purpose such as security testing or research. Ordinary editing, resizing or compression of an Output is not a breach of this clause. Where the Platform transforms content that already carries provenance markings, Reica preserves them where technically feasible.

If you publish Outputs that could appear authentic to the public, for example realistic images of people, you are responsible for any disclosure required of you as a deployer under Article 50(4) of the EU AI Act and under applicable law. The Platform offers an optional visible "AI-generated" label to help you do so.

To support provenance and detection, Reica keeps a technical record of how each Output was made (which processing steps and tools were used, and when), without your prompts. Anyone can check an Output's Content Credentials with standard C2PA verification tools; Reica will also provide a free verification tool.
